Board Oversight & Governance

All business conducted at Allegro MicroSystems, Inc. (“The Company”) by employees, managers and officers is under the direction of the CEO and the executive management team, with oversight by the Board of Directors of the Company (the “Board”). The Company and our Board are committed to operating with integrity, honesty and ethical conduct. Sound corporate governance is a foundation for our operations, and we strive to ensure transparency and accountability as we work to meet the needs of our shareholders and other stakeholders. The Board oversees the management of the Company’s business, including the important risks and opportunities facing the Company. The Board operates under Corporate Governance Guidelines, and its committees operate under established charters to ensure the proper level of oversight. The full Board has at least four scheduled meetings annually where they and the various committees review and discuss reports by management and the performance of the Company. As part of this process, the Board also oversees the Company’s environmental, social and governance (ESG) programs at both the full Board level and at the Board’s Nominating and Corporate Governance Committee, which is delegated the responsibility for ESG oversight in its charter.
